1. Introduction & Agreement
These Terms of Service ("Terms") are entered into between Amrani IT Ltd ("Company," "we," "us," "our") and you or the entity you represent ("Client," "you," "your"). By engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
These Terms apply to all managed IT support services provided by Amrani IT Ltd, including monitoring, support, consulting, and related offerings. Service scope is defined in the individual Service Agreement with the Client.
2. Services Description
Amrani IT Ltd provides managed IT support services, including but not limited to:
- 24/7 monitoring and alerting for IT infrastructure
- Remote and on-site technical support
- Microsoft 365 administration and support
- Cybersecurity and vulnerability assessments
- IT audits and compliance reviews
- Cloud infrastructure management (Azure, AWS, etc.)
- Backup and disaster recovery support
Service specifics are detailed in each Client's individual Service Agreement. The Company reserves the right to modify services with 30 days' written notice to the Client.
3. Acceptable Use
The Client agrees not to use our services:
- For any unlawful purpose or to violate any laws or regulations
- To transmit malware, viruses, or harmful code
- To engage in hacking, unauthorized access, or denial-of-service attacks
- To infringe on intellectual property rights of third parties
- To attempt to reverse-engineer or decompile our tools and methods
- To disclose confidential information without authorization
- To interfere with our service delivery to other clients
Violation of acceptable use policies may result in immediate termination of services without refund.
4. Payment Terms
- Billing: Services are billed monthly in advance, as specified in the Service Agreement
- Invoicing: Invoices are issued at the start of each month and are due within 30 days of issuance
- Payment method: Payment via bank transfer, credit card, or other agreed method
- Late payment: Overdue invoices may incur interest at 8% per annum above the Bank of England base rate or the maximum permitted by law, whichever is lower
- Suspension: Services may be suspended if payment is 30 days overdue
5. Cancellation and Termination
- Cancellation notice: Either party may terminate the service agreement with 30 days' written notice
- Termination effective date: Termination becomes effective at the end of the calendar month following the notice period
- Final billing: The Client is responsible for payment through the termination date
- Data transition: Upon termination, we will provide reasonable assistance in transitioning services (standard support hours apply)
- Immediate termination: We may terminate immediately if the Client violates these Terms or acceptable use policies
6. Intellectual Property Rights
- Client data: The Client retains all rights to their business data, systems, and configurations. We do not claim ownership of Client data
- Company tools and methods: All tools, scripts, methodologies, documentation, and processes developed or used by the Company remain our exclusive intellectual property
- Limited license: The Client receives a non-exclusive, non-transferable license to use our services solely for their own internal business purposes
- No reproduction: The Client may not copy, modify, reverse-engineer, or distribute our proprietary methods without written permission
7. Limitation of Liability
To the maximum extent permitted by law:
- Liability cap: Our total liability to the Client for any claim arising from these Terms or our services shall not exceed the total fees paid by the Client in the 3 months preceding the claim
- Excluded damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities
- Client responsibility: The Client is responsible for maintaining backups and disaster recovery procedures outside our services
- Third-party systems: We are not liable for issues caused by third-party software, hardware, or services beyond our reasonable control
8. Warranties and Disclaimers
- Services provided "as is": Our services are provided on an "as is" basis without warranties of any kind, express or implied
- Service level agreement: Specific service levels and uptime guarantees are defined in the Client's individual Service Agreement. Absent such agreement, no uptime guarantee is provided
- No warranty of uninterrupted service: We do not warrant that services will be uninterrupted or error-free
- Client systems: We do not warrant the performance, security, or reliability of the Client's own systems, hardware, or third-party software
9. Confidentiality
- Confidential information: Both parties agree to keep confidential information shared during service delivery strictly confidential
- Permitted disclosures: We may disclose confidential information as required by law, court order, or regulatory authority
- Duration: Confidentiality obligations persist for 2 years after service termination
10. Data Protection and Security
The Company complies with the UK GDPR and Data Protection Act 2018 in handling Client data. Details of how we process personal data are set out in our Privacy Policy. The Client is responsible for ensuring they have appropriate data processing agreements in place and that they comply with data protection laws.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties submit to the jurisdiction of these courts.
12. Amendments to Terms
We may update these Terms at any time. Material changes will be communicated with 30 days' written notice. Continued use of our services following such notice constitutes acceptance of the revised Terms. The Client's right to cancel under Section 5 applies if they do not accept any material change.
13. Entire Agreement
These Terms, together with the individual Service Agreement and any referenced policies (including the Privacy Policy), constitute the entire agreement between the parties regarding our services. These Terms supersede any prior negotiations, representations, or agreements.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
